1. Fundamentals:

2. Qualification:

An actual or nominal legal entity for wholesale of drugs, a drug clinical marketing network covering a certain region and an experience marketing team, who is familiar with clinical promotion fashions and devoted to the drug clinical promotion career;

Strong conception of marketing & distributing, good spirit of being enterprising and strong capacity of market control;

Sound professional ethics and business reputation, agreement to Shunhua’s business ideas and good capital strength (delivery upon payment);

Capable cooperation with Shenhua in clinical market development and management

3. Documents:

Business license, tax registration certificate, general taxpayer qualification certificate and business permit for medical products, duplicated documentation stamped with corporate seal.

Legal representative’s ID card authorized signature representative’s letter of authority and ID card, in duplicated.

4. Market Protection:

Any agent’s sales expansion into other regions and sale negative to the regulated floor price and ceiling price are forbidden by Shenhua Pharmaceutical. The breach of regulations will result in the penalty of the total guaranty money or even the disqualification from agency, to ensure the interests of the other agents and Shenhua Pharmaceutical.

An effective region coding system is adopted to prevent sale beyond regulated region.

Any agent shall pay the market insurance money of a certain sum;

Punishment and compensation system is specified.

5. Exchange/Refund Policy:

The products actually having problems in quality can be exchanged within the warranty period.

In case of any disqualification from agency for the agency’s own reason, the goods can not be rejected and the guaranty money will not be returned.
